Grensoverschrijdende fusie Clondalkin Acquisition B.V. en Leduc Limited

Bij het handelsregister van de Kamer van Koophandel zijn de stukken als bedoeld in de Nederlandse wet en bij de Ierse handelsregister in Dublin zijn de stukken als bedoeld in de Ierse wet ter inzage gelegd inzake de voorgenomen grensoverschrijdende fusie tussen Clondalkin Acquisition B.V., een besloten vennootschap met beperkte aansprakelijkheid, gevestigd te Amsterdam, kantoorhoudende te Industrieplein 1, 8171 BT Vaassen en ingeschreven in het Nederlandse handelsregister onder nummer 34200846 (de Verkrijgende Vennootschap) en Leduc Limited, een vennootschap opgericht naar Iers recht, gevestigd te Dublin, Ierland, kantoorhoudende te 3 Harmony Court, Harmony Row, Dublin 2 D02VY52, Ierland en ingeschreven in het Ierse handelsregister (Companies Registration Office in Dublin) onder nummer 344904 (de Verdwijnende Vennootschap).

Deze stukken alsmede de overige stukken bedoeld in de Nederlandse wet en de Ierse wet zijn tevens neergelegd ten kantore van beide vennootschappen.

Ingevolge Regulation 38 van de European Economic Area (Cross-Border Conversions, Mergers and Divisions) Regulations 2023 (S.I. No. 233 of 2023) kunnen schuldeisers van de Verdwijnende Vennootschap die niet tevreden zijn met de aan schuldeisers in het fusievoorstel geboden waarborgen, binnen de daarvoor geldende termijn een verzoek indienen bij de bevoegde Ierse autoriteit om aan te tonen dat de voldoening van hun vordering als gevolg van de fusie in gevaar komt, en om te verzoeken dat passende waarborgen worden opgelegd door de bevoegde Ierse autoriteit. Schuldeisers kunnen hieromtrent kosteloos inlichtingen verkrijgen van de Verdwijnende Vennootschap, zoals medegedeeld bij het Companies Registration Office en zoals geadverteerd in de CRO Gazette en een landelijk dagblad in Ierland.

Ingevolge artikel 2:333ha van het Burgerlijk Wetboek kan iedere schuldeiser van de Verkrijgende Vennootschap tot drie maanden na de onderhavige aankondiging door een verzoekschrift aan de rechtbank te Amsterdam met vermelding van de waarborg die wordt verlangd tegen het voorstel tot fusie in verzet komen. Schuldeisers kunnen hieromtrent kosteloos inlichtingen verkrijgen op het adres van de Verkrijgende Vennootschap.

Cross-border merger Clondalkin Acquisition B.V. and Leduc Limited

At the commercial register (handelsregister) of the Dutch Chamber of Commerce (Kamer van Koophandel) the documents as mentioned in Dutch law and at the Irish Companies Registration Office in Dublin the documents as mentioned in Irish law, regarding the cross-border merger between Clondalkin Acquisition B.V., a private limited liability company under Dutch law (besloten vennootschap met beperkte aansprakelijkheid), having its official seat in Amsterdam, the Netherlands, its office address at Industrieplein 1, 8171BT Vaassen, the Netherlands, and registered in the Dutch Commercial Register under number 34200846 (the Acquiring Company) and Leduc Limited, a private company limited by shares incorporated under the laws of Ireland, having its registered office at 3 Harmony Court, Harmony Row, Dublin 2 D02VY52, Ireland, and registered in the Companies Registration Office in Dublin under number 344904 (the Disappearing Company), are deposited for inspection.

These documents as well as the other documents referred to in Dutch law and Irish law have been deposited at the offices of the companies.

Pursuant to Regulation 38 of the European Economic Area (Cross-Border Conversions, Mergers and Divisions) Regulations 2023 (S.I. No. 233 of 2023), creditors of the Disappearing Company who are dissatisfied with the safeguards offered to creditors in the merger proposal can, within the applicable period, apply to the competent Irish authority to demonstrate that, as a result of the merger, the satisfaction of their claim is at stake, and seek adequate safeguards be imposed by the competent Irish authority. Creditors may obtain information about this free of charge from the Disappearing Company, as notified in the Companies Registration Office and as advertised in the CRO Gazette and a national newspaper in Ireland.

Pursuant to Section 2:333ha of the Dutch Civil Code, creditors of the Acquiring Company can object against the merger proposal up to three months after this announcement by filing a petition with the court in Amsterdam, the Netherlands

stating the security required. Creditors may obtain information about this free of charge at the office address of the Acquiring Company.
