A. TITEL

Akte van Stockholm van 14 juli 1967 ter aanvulling van de Schikking van ’s-Gravenhage betreffende het internationaal dépôt van tekeningen en modellen van nijverheid, van 6 november 1925, herzien te Londen op 2 juni 1934 en te ’s-Gravenhage op 28 november 1960 en aangevuld door de Aanvullende Akte van Monaco van 18 november 1961;

In overeenstemming met artikel 5, tweede lid, van de Akte heeft de Conferentie van de Wereldorganisatie voor de Intellectuele Eigendom op 1 oktober 2003 unaniem een wijziging van de artikelen 2 en 4 aangenomen. De Engelse en de Franse tekst1 van de wijziging luidt als volgt:

Article 2 Assembly

1. a) The Special Union shall have an Assembly consisting of those countries which have ratified or acceded to this Complementary Act.

  • b) The Government of each country shall be represented by one delegate, who may be assisted by alternate delegates, advisors, and experts.

  • c) The expenses of each delegation shall be borne by the Government which has appointed it.

2. a) The Assembly shall:

    • (i) deal with all matters concerning the maintenance and development of the Special Union and the implementation of this Agreement;

    • (ii) give directions to the International Bureau concerning the preparation for conferences of revision, due account being taken of any comments made by those countries of the Special Union which have not ratified or acceded to this Complementary Act;

    • (iii) modify the Regulations, including the fixation of the amounts of the fees relating to the international deposit of industrial designs;

    • (iv) review and approve the reports and activities of the Director General concerning the Special Union, and give him all necessary instructions concerning matters within the competence of the Special Union;

    • (v) determine the program and adopt the biennial budget of the Special Union, and approve its final accounts;

    • (vi) adopt the financial regulations of the Special Union;

    • (vii) establish such committees of experts and working groups as it may deem necessary to achieve the objectives of the Special Union;

    • (viii) determine which countries not members of the Special Union and which intergovernmental and international non-governmental organizations shall be admitted to its meetings as observers;

    • (ix) adopt amendments to Articles 2 to 5;

    • (x) take any other appropriate action designed to further the objectives of the Special Union;

    • (xi) perform such other functions as are appropriate under this Complementary Act.

  • b) With respect to matters which are of interest also to other Unions administered by the Organization, the Assembly shall make its decisions after having heard the advice of the Coordination Committee of the Organization.

3. a) Each country member of the Assembly shall have one vote.

  • b) One-half of the countries members of the Assembly shall constitute a quorum.

  • c) Notwithstanding the provisions of subparagraph (b), if, in any session, the number of countries represented is less than one-half but equal to or more than one-third of the countries members of the Assembly, the Assembly may make decisions but, with the exception of decisions concerning its own procedure, all such decisions shall take effect only if the conditions set forth hereinafter are fulfilled. The International Bureau shall communicate the said decisions to the countries members of the Assembly which were not represented and shall invite them to express in writing their vote or abstention within a period of three months from the date of the communication. If, at the expiration of this period, the number of countries having thus expressed their vote or abstention attains the number of countries which was lacking for attaining the quorum in the session itself, such decisions shall take effect provided that at the same time the required majority still obtains.

  • d) Subject to the provisions of Article 5(2), the decisions of the Assembly shall require two-thirds of the votes cast.

  • e) Abstentions shall not be considered as votes.

  • f) A delegate may represent, and vote in the name of, one country only.

  • g) Countries of the Special Union not members of the Assembly shall be admitted to the meetings of the latter as observers.

4.

  • a) The Assembly shall meet once in every calendar year in ordinary session upon convocation by the Director General and, in the absence of exceptional circumstances, during the same period and at the same place as the General Assembly of the Organization.

  • b) The Assembly shall meet in extraordinary session upon convocation by the Director General, at the request of one-fourth of the countries members of the Assembly.

  • c) The agenda of each session shall be prepared by the Director General.

5. The Assembly shall adopt its own rules of procedure.

Article 4 Finances

1. The income and expenses of the Special Union shall be reflected in the budget of the Organization in a fair and transparent manner.

2. The income of the Special Union shall be derived from the following sources:

    • (i) international deposit fees and other fees and charges due for other services rendered by the International Bureau;

    • (ii) sale of, or royalties on, the publications of the International Bureau;

    • (iii) gifts, bequests, and subventions;

    • (iv) rents, interests, and other miscellaneous income.

3. a) The amounts of the fees referred to in paragraph (2)(i) shall be fixed by the Assembly on the proposal of the Director General.

  • b) The amounts of such fees shall be so fixed that the revenues of the Special Union from fees and other sources shall be at least sufficient to cover the expenses of the International Bureau.

  • c) If the budget of the Organization is not adopted before the beginning of a new financial period, the budgeted income and expenses of the Special Union shall be at the same level as they were in the previous year, as provided in the financial regulations.

4. Subject to the provisions of paragraph (3)(a), the amount of the fees and charges due for other services rendered by the International Bureau in relation to the Special Union shall be established, and shall be reported to the Assembly, by the Director General.

5. a) The Special Union shall have a working capital fund which shall be constituted by the excess receipts and, if such excess does not suffice, by a single payment made by each country of the Special Union. If the fund becomes insufficient, the Assembly shall decide to increase it.

  • b) The amount of the initial payment of each country to the said fund or of its participation in the increase thereof shall be a proportion of the contribution of that country as a member of the Paris Union for the Protection of Industrial Property to the budget of the said Union for the year in which the fund is established or the decision to increase it is made.

  • c) The proportion and the terms of payment shall be fixed by the Assembly on the proposal of the Director General and after it has heard the advice of the Coordination Committee of the Organization.

6. a) In the headquarters agreement concluded with the country on the territory of which the Organization has its headquarters, it shall be provided that, whenever the working capital fund is insufficient, such country shall grant advances. The amount of those advances and the conditions on which they are granted shall be the subject of separate agreements, in each case, between such country and the Organization.

  • b) The country referred to in subparagraph (a) and the Organization shall each have the right to denounce the obligation to grant advances, by written notification. Denunciation shall take effect three years after the end of the year in which it has been notified. {tekst

7. The auditing of the accounts shall be effected by one or more of the countries of the Special Union or by external auditors, as provided in the financial regulations. They shall be designated, with their agreement, by the Assembly.


Article 2 Assemblée

1. a) L’Union particulière a une Assemblée composée des pays qui ont ratifié le présent Acte ou y ont adhéré.

  • b) Le Gouvernement de chaque pays est représenté par un délégué, qui peut être assisté de suppléants, de conseillers et d’experts.

  • c) Les dépenses de chaque délégation sont supportées par le Gouvernement qui l’a désignée.

2. a) L’Assemblée :

    • i) traite de toutes les questions concernant le maintien et le développement de l’Union particulière et l’application de son Arrangement;

    • ii) donne au Bureau international des directives concernant la préparation des conférences de révision, compte étant dûment tenu des observations des pays de l’Union particulière qui n’ont pas ratifié le présent Acte ou n’y ont pas adhéré;

    • iii) modifie le règlement d’exécution et fixe le montant des taxes relatives au dépôt international des dessins et modèles industriels;

    • iv) examine et approuve les rapports et les activités du Directeur général relatifs à l’Union particulière et lui donne toutes directives utiles concernant les questions de la compétence de l’Union particulière;

    • v) arrête le programme, adopte le budget biennal de l’Union particulière et approuve ses comptes de clôture;

    • vi) adopte le Règlement financier de l’Union particulière;

    • vii) crée les comités d’experts et groupes de travail qu’elle juge utiles à la réalisation des objectifs de l’Union particulière;

    • viii) décide quels sont les pays non membres de l’Union particulière et quelles sont les organisations intergouvernementales et internationales non gouvernementales qui peuvent être admis à ses réunions en qualité d’observateurs;

    • ix) adopte les modifications des articles 2 à 5;

    • x) entreprend toute autre action appropriée en vue d’atteindre les objectifs de l’Union particulière;

    • xi) s’acquitte de toutes autres tâches qu’implique le présent Acte complémentaire.

  • b) Sur les questions qui intéressent également d’autres Unions administrées par l’Organisation, l’Assemblée statue connaissance prise de l’avis du Comité de coordination de l’Organisation.

3. a) Chaque pays membre de l’Assemblée dispose d’une voix.

  • b) La moitié des pays membres de l’Assemblée constitue le quorum.

  • c) Nonobstant les dispositions du sous-alinéa b), si, lors d’une session, le nombre des pays représentés est inférieur à la moitié mais égal ou supérieur au tiers des pays membres de l’Assemblée, celle-ci peut prendre des décisions; toutefois, les décisions de l’Assemblée, à l’exception de celles qui concernent sa procédure, ne deviennent exécutoires que lorsque les conditions énoncées ci-après sont remplies. Le Bureau international communique lesdites décisions aux pays membres de l’Assemblée qui n’étaient pas représentés, en les invitant à exprimer par écrit, dans un délai de trois mois à compter de la date de ladite communication, leur vote ou leur abstention. Si, à l’expiration de ce délai, le nombre des pays ayant ainsi exprimé leur vote ou leur abstention est au moins égal au nombre de pays qui faisait défaut pour que le quorum fût atteint lors de la session, lesdites décisions deviennent exécutoires, pourvu qu’en même temps la majorité nécessaire reste acquise.

  • d) Sous réserve des dispositions de l’article 5.2), les décisions de l’Assemblée sont prises à la majorité des deux tiers des votes exprimés.

  • e) L’abstention n’est pas considérée comme un vote.

  • f) Un délégué ne peut représenter qu’un seul pays et ne peut voter qu’au nom de celui-ci.

  • g) Les pays de l’Union particulière qui ne sont pas membres de l’Assemblée sont admis à ses réunions en qualité d’observateurs.

4. a) L’Assemblée se réunit une fois par an en session ordinaire, sur convocation du Directeur général et, sauf cas exceptionnels, pendant la même période et au même lieu que l’Assemblée générale de l’Organisation.

  • b) L’Assemblée se réunit en session extraordinaire sur convocation adressée par le Directeur général, à la demande d’un quart des pays membres de l’Assemblée.

  • c) L’ordre du jour de chaque session est préparé par le Directeur général.

5. L’Assemblée adopte son règlement intérieur.

Article 4 Finances

1. Les recettes et les dépenses de l’Union particulière sont présentées dans le budget de l’Organisation de façon objective et transparente.

2. Les recettes de l’Union particulière proviennent des ressources suivantes :

    • i) les taxes relatives au dépôt international et les taxes et sommes dues pour les autres services rendus par le Bureau international;

    • ii) le produit de la vente des publications du Bureau international et les droits afférents à ces publications;

    • iii) les dons, legs et subventions;

    • iv) les loyers, intérêts et autres revenus divers.

3. a) Le montant des taxes mentionnées à l’alinéa 2)i) est fixé par l’Assemblée, sur proposition du Directeur général.

  • b) Ce montant est fixé de manière à ce que les recettes de l’Union particulière provenant des taxes et des autres sources de revenus permettent au moins de couvrir les dépenses du Bureau international intéressant l’Union particulière.

  • c) Dans le cas où le budget de l’Organisation n’est pas adopté avant le début d’un nouvel exercice, les recettes et dépenses de l’Union particulière inscrites au budget de l’année précédente sont reconduites selon les modalités prévues par le règlement financier.

4. Sous réserve des dispositions de l’alinéa 3)a), le montant des taxes et sommes dues pour les autres services rendus par le Bureau international au titre de l’Union particulière est fixé par le Directeur général, qui en fait rapport à l’Assemblée.

5. a) L’Union particulière possède un fonds de roulement constitué par les excédents de recettes et, si de tels excédents ne suffisent pas, par un versement unique effectué par chaque pays de l’Union particulière. Si le fonds devient insuffisant, l’Assemblée décide de son augmentation.

  • b) Le montant du versement initial de chaque pays au fonds précité ou de sa participation à l’augmentation de celui-ci est proportionnel à la contribution de ce pays, en tant que membre de l’Union de Paris pour la protection de la propriété industrielle, au budget de ladite Union pour l’année au cours de laquelle le fonds est constitué ou l’augmentation décidée.

  • c) La proportion et les modalités de versement sont arrêtées par l’Assemblée, sur proposition du Directeur général et après avis du Comité de coordination de l’Organisation.

6. a) L’accord de siège conclu avec le pays sur le territoire duquel l’Organisation a son siège prévoit que, si le fonds de roulement est insuffisant, ce pays accorde des avances. Le montant de ces avances et les conditions dans lesquelles elles sont accordées font l’objet, dans chaque cas, d’accords séparés entre le pays en cause et l’Organisation.

  • b) Le pays visé au sous-alinéa a) et l’Organisation ont chacun le droit de dénoncer l’engagement d’accorder des avances moyennant notification par écrit. La dénonciation prend effet trois ans après la fin de l’année au cours de laquelle elle a été notifiée.

7. La vérification des comptes est assurée, selon les modalités prévues par le règlement financier, par un ou plusieurs pays de l’Union particulière ou par des contrôleurs extérieurs, qui sont, avec leur consentement, désignés par l’Assemblée.

Artikel 2 Algemene Vergadering

1. a. De bijzondere Unie kent een Algemene Vergadering, samengesteld uit de landen die deze aanvullende Akte hebben bekrachtigd of daartoe zijn toegetreden.

  • b. De Regering van elk land wordt vertegenwoordigd door een afgevaardigde, die zich kan doen bijstaan door plaatsvervangers, adviseurs en deskundigen.

  • c. De door elke delegatie gemaakte kosten worden gedragen door de Regering die haar heeft aangewezen.

2. a. De Algemene Vergadering:

    • i. neemt alle vraagstukken in behandeling betreffende de instandhouding en de ontwikkeling van de bijzondere Unie en de toepassing van deze Schikking;

    • ii. verstrekt aan het Internationale Bureau richtlijnen betreffende de voorbereiding van de herzieningsconferenties, hierbij naar behoren rekening houdend met de opmerkingen van de landen van de bijzondere Unie, die deze aanvullende Akte niet hebben bekrachtigd of daartoe niet zijn toegetreden;

    • iii. brengt wijzigingen aan in het reglement van uitvoering en stelt de bedragen van de taksen vast voor het internationale depot van tekeningen en modellen van nijverheid;

    • iv. bestudeert en hecht haar goedkeuring aan de rapporten en werkzaamheden van de Directeur-Generaal met betrekking tot de bijzondere Unie en verstrekt hem alle van belang zijnde richtlijnen met betrekking tot de vraagstukken ter zake van de competentie van de bijzondere Unie;

    • v. stelt het programma en de tweejaarlijkse begroting van de bijzondere Unie vast en keurt haar jaarrekeningen goed;

    • vi. stelt het financieel reglement van de bijzondere Unie vast;

    • vii. roept de commissies van deskundigen en de werkgroepen in het leven, die zij van belang acht voor de verwezenlijking van de doelstellingen van de bijzondere Unie;

    • viii. beslist welke landen, geen leden van de bijzondere Unie zijnde, en welke intergouvernementele en niet-gouvernementele internationale organisaties als waarnemers tot haar vergaderingen kunnen worden toegelaten;

    • ix. neemt de wijzigingen aan van de artikelen 2 tot en met 5;

    • x. verricht iedere handeling die dienstig is ter verwezenlijking van de doelstellingen van de bijzondere Unie;

    • xi. verricht alle overige taken die dienstig zijn uit hoofde van deze aanvullende Akte.

  • b. Aangaande vraagstukken die eveneens andere door de Organisatie beheerde Unies raken, doet de Algemene Vergadering uitspraak na het advies van de Coördinatiecommissie van de Organisatie te hebben ingewonnen.

3. a. Elk land dat lid is van de Algemene Vergadering heeft een stem.

  • b. Het quorum wordt gevormd door de helft van de landen die lid zijn van de Algemene Vergadering.

  • c. Niettegenstaande het bepaalde onder b) kunnen, indien gedurende een zitting het aantal vertegenwoordigde landen kleiner is dan de helft, maar gelijk aan of groter dan het derde deel van het aantal landen die lid zijn van de Algemene Vergadering, door die Vergadering besluiten worden genomen; evenwel worden de besluiten van de Algemene Vergadering, met uitzondering van die, welke haar eigen procedure betreffen, eerst rechtens uitvoerbaar, nadat aan de hierna vermelde voorwaarden is voldaan. Het Internationale Bureau brengt de hier bedoelde besluiten ter kennis van de landen die lid zijn van de Algemene Vergadering, die niet vertegenwoordigd waren en verzoekt hun binnen een termijn van drie maanden, te rekenen van de datum van de bedoelde kennisgeving, schriftelijk hun stem uit te brengen of hun onthouding kenbaar te maken. Indien na afloop van deze termijn het aantal landen, dat op deze wijze zijn stem heeft uitgebracht of zijn onthouding heeft kenbaar heeft gemaakt, ten minste gelijk is aan het aantal landen dat aan het quorum van de vergadering ontbrak, zullen bedoelde besluiten rechtens uitvoerbaar worden, mits tezelfdertijd de vereiste meerderheid is bereikt.

  • d. Onverminderd het bepaalde in artikel 5, tweede lid, worden de besluiten van de Algemene Vergadering genomen met een meerderheid van twee derde van de uitgebrachte stemmen.

  • e. Onthouding geldt niet als stem.

  • f. Een afgevaardigde kan slechts een land vertegenwoordigen en kan slechts uit naam van dit land zijn stem uitbrengen.

  • g. De landen van de bijzondere Unie die geen lid zijn van de Algemene Vergadering kunnen haar vergaderingen als waarnemers bijwonen.

4. a. De Algemene Vergadering komt eenmaal per kalenderjaar in gewone zitting bijeen op uitnodiging van de Directeur-Generaal en, uitzonderlijke omstandigheden daargelaten, gedurende dezelfde periode en op dezelfde plaats als de Algemene Vergadering van de Organisatie.

  • b. De Algemene Vergadering komt in buitengewone zitting bijeen op uitnodiging van de Directeur-Generaal ingevolge een verzoek van een vierde van de landen die lid zijn van de Algemene Vergadering.

  • c. De agenda voor elke zitting wordt opgesteld door de Directeur-Generaal.

5. De Algemene Vergadering stelt haar reglement van orde vast.

Artikel 4 Financiën

1. De inkomsten en uitgaven van de bijzondere Unie worden op eerlijke en transparante wijze beheerd en weergegeven in de begroting van de Organisatie.

2. De inkomsten van de bijzondere Unie worden ontleend aan de volgende bronnen:

  • i. de taksen voor het internationale depot en de taksen en gelden verschuldigd voor de overige diensten verleend door het Internationale Bureau;

  • ii. de opbrengst van de verkoop van de publicaties van het Internationale Bureau en de rechten welke op deze publicaties betrekking hebben;

  • iii. giften, legaten en subsidies;

  • iv. huuropbrengsten, rente en overige inkomsten.

3. a. Het bedrag van de taksen, bedoeld in het tweede lid, onder i), wordt vastgesteld door de Algemene Vergadering op voorstel van de Directeur-Generaal.

  • b. Dit bedrag wordt zo vastgesteld, dat de ontvangsten van de bijzondere Unie, afkomstig uit taksen en andere bronnen van inkomsten, ten minste voldoende zijn om de uitgaven van het Internationale Bureau ten behoeve van de bijzondere Unie te dekken.

  • c. Ingeval de begroting van de Organisatie niet is vastgesteld vóór de aanvang van het nieuwe begrotingsjaar, worden de begrote inkomsten en uitgaven van de bijzondere Unie van het voorafgaande jaar aangehouden, zoals voorzien in het financieel reglement.

4. Onder voorbehoud van het bepaalde in het derde lid, onder a), wordt het bedrag van de taksen en gelden verschuldigd voor de andere door het Internationale Bureau namens de bijzondere Unie verleende diensten vastgesteld door de Directeur-Generaal, die daarover verslag uitbrengt aan de Algemene Vergadering.

5. a. De bijzondere Unie bezit een operationeel fonds, gevormd door de overschotten van de ontvangsten en ingeval deze overschotten niet voldoende zijn, door een eenmalige storting van elk van de landen van de bijzondere Unie. Indien het fonds ontoereikend wordt, beslist de Algemene Vergadering over bijstorting.

  • b. Het bedrag van de eerste storting door ieder land aan het hiervoor vermelde fonds of dat van zijn deelneming aan de bijstorting is evenredig aan de bijdrage van dat land, als lid van de Unie van Parijs voor de bescherming van de industriële eigendom, aan de begroting van genoemde Unie voor het jaar waarin het fonds is gesticht of tot bijstorting is besloten.

  • c. Het aandeel en de wijze van storting worden vastgesteld door de Algemene Vergadering op voorstel van de Directeur-Generaal en na advies van de Coördinatiecommissie van de Organisatie.

6. a. De overeenkomst betreffende de zetelvestiging, gesloten met het land op het grondgebied waarvan de Organisatie haar zetel heeft, bepaalt dat, indien het operationele fonds niet toereikend is, dat land voorschotten verstrekt. Het bedrag van deze voorschotten en de voorwaarden waarop zij worden verstrekt, vormen steeds het onderwerp van afzonderlijke overeenkomsten tussen het betrokken land en de Organisatie.

  • b. Het land bedoeld onder a) en de Organisatie hebben elk het recht de overeenkomst tot het verstrekken van voorschotten schriftelijk op te zeggen. De opzegging wordt van kracht drie jaar na afloop van het jaar waarin de kennisgeving is gedaan.

7. Het nazien van de rekeningen wordt verricht op de wijze voorzien in het financieel reglement, door een of meer landen van de bijzondere Unie of door onafhankelijke controleurs. Zij worden, met hun instemming, aangewezen door de Algemene Vergadering.

De wijziging van 1 oktober 2003 behoeft ingevolge artikel 91 van de Grondwet de goedkeuring van de Staten-Generaal alvorens te kunnen worden aanvaard.

De wijziging van 1 oktober 2003 treedt ingevolge artikel 5, derde lid, van de Akte in werking één maand na ontvangst door de Directeur-Generaal van de Wereldorganisatie voor de Intellectuele Eigendom van de schriftelijke verklaringen van aanvaarding van drievierde van de staten die op het tijdstip waarop de wijziging door de Conferentie werd aangenomen, lid waren van de Organisatie.
